Terms of Service

These Terms of Service (the “Terms”) are a binding agreement between you and Billi, Inc. (“Comodo,” “we,” “us,” or “our”) governing your use of the Comodo mobile application and related services (the “Service”). By creating an account or using the Service, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.
Please read Section 13 (Arbitration and Class-Action Waiver) carefully — it affects how disputes are resolved. [CONFIRM arbitration program with counsel before launch.]
1. Eligibility
You must be at least 18 years old, a U.S. resident, and able to form a binding contract to use the Service. You agree to provide accurate, current, and complete information and to keep it up to date.
2. What Comodo is (and is not)
Comodo helps groups split and pay shared recurring expenses. Comodo is a financial technology company, not a bank. Deposit accounts and money movement are provided by our partner bank, [CONFIRM — Unit partner bank, e.g. “Thread Bank, Member FDIC”], through our banking-platform provider, Unit, and bank-account linking is provided by Plaid. Funds held in deposit accounts may be eligible for FDIC pass-through insurance through the partner bank, subject to its terms and applicable limits. Your use of those banking services is also subject to the partner bank’s deposit account agreement and Unit’s end-user terms, which you may be asked to accept separately; if there is a conflict between those agreements and these Terms with respect to the banking services, those agreements control for the banking services.
3. Your account
You are responsible for safeguarding your login credentials and for all activity under your account. Notify us promptly at support@billi.solutions if you suspect unauthorized access. We may suspend or terminate accounts that violate these Terms or that we reasonably believe present legal, fraud, or security risk.
4. Identity verification
Before you can move money, you must complete identity verification, and you authorize us and our banking partners to collect and verify your information and to obtain information about you from third parties for this purpose. We may refuse or discontinue the Service if we cannot verify your identity.
5. Linking your bank account
You connect an external bank account through Plaid. You represent that you own or are authorized to use any account you link, and you agree to Plaid’s applicable terms. You authorize us and our partners to access account and transaction information from your linked account to operate the Service.
6. Shared expenses and ACH authorization
When you join a shared expense, you authorize Comodo and our banking partners to initiate ACH debit entries from your linked bank account for your share of that expense, on the schedule and amount disclosed to you at the time you consent (your “NACHA authorization”). You authorize variable amounts where your share changes (for example, when a split is re-allocated or rounding is rotated among members), and you agree to be shown the applicable amount before it changes.
Revoking authorization. Your authorization remains in effect until you revoke it. You may revoke it by leaving the shared expense or group, or by contacting support@billi.solutions, in each case far enough in advance for us to act on it (generally at least 3 business days before a scheduled transfer). Revoking an authorization does not relieve you of amounts already owed.
Insufficient funds and returns. You are responsible for maintaining sufficient funds. Failed, returned, or reversed transfers may be retried and may be subject to fees imposed by your bank. You authorize reasonable retries of failed collections.
7. Groups, splits, and member responsibilities
Groups set up shared expenses and how they are split. Changes to a split or expense may require the agreement of group members as implemented in the Service. You are responsible for your own share of each shared expense you consent to. Comodo facilitates collection among members but is not a party to, and is not responsible for, the underlying arrangements among group members.
8. Fees
[CONFIRM fee terms. If the Service is free during beta, state that here and reserve the right to introduce fees with notice.] We will disclose any fees before you incur them. Third parties (such as your bank) may charge their own fees, which are your responsibility.
9. Acceptable use
You agree not to use the Service to: violate any law or regulation; engage in fraud, money laundering, or financing of illegal activity; move funds you are not authorized to move; infringe others’ rights; interfere with or attempt to circumvent the security or operation of the Service; or use the Service on behalf of anyone who is not a member of your group without authorization.
10. License and intellectual property
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Comodo application on a device that you own or control, solely for your personal, non-commercial use. Comodo and its content are protected by intellectual-property laws; we reserve all rights not expressly granted.
11. Disclaimers
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT, TO THE FULLEST EXTENT PERMITTED BY LAW. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.
12. Limitation of liability
TO THE FULLEST EXTENT PERMITTED BY LAW, BILLI, INC. AND ITS OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICE. OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE WILL NOT EXCEED THE GREATER OF THE AMOUNT OF FEES YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM OR US $100. [CONFIRM caps with counsel.]
13. Arbitration and class-action waiver
[CONFIRM — this section describes a binding arbitration program and class-action waiver. Counsel should finalize the arbitration provider, rules, opt-out window, and any carve-outs before launch.] Except where prohibited by law, you and Comodo agree to resolve disputes through binding individual arbitration rather than in court, and you and Comodo waive the right to participate in a class action. Details, including any right to opt out, will be provided in the final arbitration provision.
14. Termination
You may stop using the Service and delete your account at any time (subject to settling outstanding obligations). We may suspend or terminate your access if you violate these Terms or as needed to comply with law or protect the Service. Sections that by their nature should survive termination (including Sections 11–13 and 15) will survive.
15. Governing law
These Terms are governed by the laws of the State of Delaware, without regard to its conflict-of-laws rules. Subject to Section 13, disputes not subject to arbitration will be resolved in the state or federal courts located in Delaware.
16. Changes to these Terms
We may update these Terms from time to time. We will revise the “Last updated” date above and, for material changes, provide additional notice. Your continued use of the Service after an update means you accept the revised Terms.
17. Apple App Store — additional terms
These terms apply if you obtained the Comodo app from the Apple App Store. You acknowledge that these Terms are between you and Comodo only, and not with Apple, and that Apple is not responsible for the app or its content. Apple has no obligation to provide maintenance or support for the app. To the maximum extent permitted by law, Apple has no warranty obligation with respect to the app, and any claims relating to the app (including product-liability claims, claims that the app fails to conform to legal or regulatory requirements, and claims under consumer-protection or similar laws) are our responsibility, not Apple’s. If a third party claims the app infringes its intellectual-property rights, Comodo, not Apple, is responsible for the investigation, defense, settlement, and discharge of that claim to the extent required by these Terms. You must comply with applicable third-party terms of agreement when using the app, and you represent that you are not located in a country subject to a U.S. Government embargo or designated as “terrorist-supporting,” and that you are not on any U.S. Government list of prohibited or restricted parties. Apple and its subsidiaries are third-party beneficiaries of these Terms and may enforce them against you.
